Prateek Shahi is an Associate Partner at KNM & Partners with over 13 years of experience in real estate, banking & finance, and general corporate law. He has advised a wide range of domestic and international clients on strategic real estate transactions, corporate structuring, joint ventures, mergers & acquisitions, and financing mandates.
Prateek has deep sectoral knowledge and is highly regarded for his advisory on land acquisition, joint development arrangements, title diligence, leasing, stamping laws, land ceiling, and compliance under RERA. His practice spans residential, commercial, institutional, hospitality, and industrial projects across key markets including Delhi NCR, Uttar Pradesh, Haryana, Punjab, Rajasthan, Maharashtra, Madhya Pradesh, Goa, etc.
He also routinely advises on corporate transactions across sectors such as construction, hospitality, banking & finance, e-commerce, and consultancy, providing end-to-end legal support from structuring and due diligence to drafting, negotiation, and transaction closure. He has built a distinguished practice assisting clients in complex, high-value transactions, regulatory compliance, and strategic advisory across these core sectors.
Prateek’s banking & finance practice includes advising NBFCs, Banks, funds, and corporate borrowers on a broad spectrum of lending transactions, project finance, acquisition finance, and debt restructuring. He has experience in drafting and negotiating facility/loan agreements, inter-corporate deposit agreements, escrow agreements, security documents, and settlement agreements.
Prior to joining KNM & Partners, Prateek was associated with one of the oldest law firms in Delhi, where he honed his expertise in real estate and corporate law.

Real Estate Transactions
- Advised a leading real estate developer on the acquisition of approximately 350 acres of township land in Panipat, Haryana.
- Advised and represented a real estate major in acquiring 100 acres of township land in the Yamuna Expressway Industrial Development Authority Area, Uttar Pradesh.
- Acted for a prominent real estate developer and a renowned film production house in their bid for the construction and development of Film City in Yamuna Expressway Industrial Development Authority Area, Uttar Pradesh.
- Assisted a major developer in acquiring approx. 150 acres of resort land in Goa.
- Acted for a conglomerate in the acquisition of 5-star hotels in Jaipur and Agra, and a 5-star resort in Delhi.
- Advised on the acquisition of approx. 150 acres of land in Gurugram, Haryana for a leading corporate group.
- Assisted NBFCs and lenders in financing multiple real estate projects in Gurugram and Noida.
- Represented a real estate developer in acquiring group housing land in Wave City, Ghaziabad.
- Advised an NBFC on the acquisition of a shopping mall along with a farmhouse in Delhi.
